§ 01 — Acceptance & parties
These Terms of Service (the "Terms") form a binding agreement between Eliopi LLC, a US limited liability company ("Eliopi", "we", "us"), and the business or individual using the Eliopi website, dashboard, or API (the "Merchant", "you"). By creating an Eliopi account, completing onboarding, or initiating a transaction, you accept these Terms.
If you accept these Terms on behalf of an entity, you represent that you have the authority to bind that entity. If you do not have such authority or do not agree, you may not use the platform.
§ 02 — The Eliopi platform
Eliopi is a payment platform built on Stripe Connect. We provide:
- Hosted merchant onboarding orchestration (using Stripe's Account Links and Embedded Components for KYB and identity verification);
- A hosted checkout experience rendered with Stripe Elements;
- A merchant dashboard for refunds, dispute response, payout reporting, and reconciliation;
- Application-fee collection per successful charge.
Eliopi is not a bank, money transmitter, money services business, acquirer, or merchant of record. The licensed payment processor is Stripe, Inc. (and, depending on your jurisdiction, its applicable affiliate). Settlement of cardholder funds occurs on your connected Stripe account.
§ 03 — Stripe relationship
By using Eliopi, you acknowledge and accept that:
- You will be onboarded as a connected account under Eliopi's Stripe Connect platform.
- Your use of the payment-processing service is additionally governed by the Stripe Services Agreement and the Stripe Connected Account Agreement (the "Stripe Agreements"), which you accept as part of Stripe's onboarding flow.
- Stripe is not a Stripe Connect Platform. Stripe is the licensed payment processor; Eliopi is the platform that uses Stripe Connect to serve you. The Stripe Agreements form a direct contractual relationship between you and Stripe, separate from these Terms.
- Stripe — not Eliopi — determines whether your connected account is approved, what capabilities are activated, what payout schedule applies, what reserves or holds may be required, and whether your account remains in good standing under Stripe's risk policies.
- Stripe may terminate the Stripe Connected Account Agreement at any time for any reason by notifying you, per the CAA itself. Eliopi has no authority to prevent, override, or appeal that decision on your behalf.
- If Stripe restricts, suspends, or closes your connected account, Eliopi's ability to provide service to you ends to the extent dependent on Stripe.
- Disconnecting from Eliopi does not close your Stripe account. Your connected Stripe account remains under your control after termination of your relationship with Eliopi; closing the Stripe account is a separate action you take through Stripe.
- Stripe disclaims liability for Eliopi's acts and omissions, including any failure by Eliopi to comply with these Terms; conversely, Eliopi's liability is limited as set out in § 13.
The Stripe Agreements are incorporated into these Terms by reference. If a conflict arises between these Terms and the Stripe Agreements with respect to payment processing, the Stripe Agreements control.
§ 04 — Merchant eligibility & KYB
To use Eliopi as a Merchant you must:
- Be a legally registered business entity in a country supported by Stripe Connect (United States at launch; additional countries as we enable them);
- Operate a business that is not in our list of prohibited categories;
- Provide complete and accurate information for know-your-business (KYB) verification, including beneficial-owner identification (≥ 25% threshold), representative identity, business registration documents, EIN or local equivalent, and a payout bank account;
- Not be on a sanctioned-persons list (OFAC, EU consolidated, UK HMT) or otherwise restricted from receiving payment processing services in your jurisdiction.
Stripe Identity (or its delegated provider) performs identity verification. Eliopi may decline to onboard or may suspend any Merchant whose business does not align with our Acceptable Use Policy, regardless of Stripe's separate determination.
§ 05 — Accounts & security
You are responsible for maintaining the confidentiality of your Eliopi account credentials and for all activity that occurs under them. Notify us promptly at security@eliopi.com of any suspected compromise. You will not share API keys with third parties or store them in client-side code.
§ 06 — Acceptable use
You will use the Eliopi platform only for the business activities you declared at onboarding. You will not, and you will not permit any third party to:
- Use Eliopi for any of the categories listed in our Acceptable Use Policy;
- Misrepresent the goods or services you sell, the nature of your business, or your beneficial owners;
- Process transactions on behalf of another business that has not itself been onboarded ("factoring", "transaction laundering");
- Submit charges that violate Stripe's policies, applicable card-network rules, or applicable law;
- Attempt to reverse-engineer, sub-license, or resell the Eliopi platform.
Violation of this section is a material breach. We may suspend or terminate your access without prior notice, and we will report material violations to Stripe and, where required, to law enforcement or financial regulators.
§ 07 — Fees & settlement
Eliopi takes an application fee per successful charge, set in your subscription order or in the public pricing schedule in effect at the time of the transaction. The application fee is collected automatically by Stripe at charge time and credited to Eliopi's platform balance on Stripe.
Stripe processing fees, dispute fees, currency-conversion fees, instant-payout fees (where elected), and similar charges set by Stripe are pass-through and are debited from your connected account balance per the Stripe Agreements. Eliopi does not earn a margin on Stripe's processing fees.
We may change Eliopi's application fee schedule with at least 30 days' notice by email and via the pricing page. Continued use of the platform after the effective date constitutes acceptance.
§ 08 — Refunds & disputes
You initiate refunds through the Eliopi dashboard. Refunds are processed against your connected Stripe account; the corresponding application fee is refunded back to your account proportionally where applicable (we use Stripe's refund_application_fee mechanism). Customer-side timing typically follows Stripe's standard 5–10 business day window for cards.
Disputes (chargebacks) flow through Stripe. Because Eliopi uses destination charges, the disputed amount and Stripe's dispute fee debit Eliopi's platform balance; we recoup the disputed amount from your connected account via a transfer reversal. You are responsible for submitting dispute evidence through the Eliopi dashboard within Stripe's response window. See the full Refund & Dispute Policy for operational detail.
§ 09 — Funds custody
Eliopi does not custody cardholder funds. Successful charges settle on your connected Stripe account balance, governed by Stripe's payout schedule. Eliopi holds only its own application-fee balance on its Stripe platform account. We have no authority to move funds from your connected account except (a) refunds initiated by you through the Eliopi dashboard, (b) refunds initiated by Stripe in response to disputes, and (c) transfer reversals required to recoup disputed amounts or fee corrections, in each case as permitted by the Stripe Agreements.
§ 10 — Data & PCI
Eliopi operates under PCI DSS scope SAQ-A. Cardholder data (PAN, CVV, full track data) is captured by Stripe Elements directly in the cardholder's browser and tokenised by Stripe; it does not transit or persist on Eliopi infrastructure. Eliopi retains payment-method tokens, charge IDs, customer email and order metadata you provide, and Stripe-issued metadata (brand, last4, BIN, 3DS result). Our handling of personal data is described in the Privacy Policy.
§ 11 — IP & licence
Eliopi retains all right, title, and interest in the platform, including the API, dashboard, hosted checkout, documentation, and underlying software. We grant you a non-exclusive, non-transferable, revocable licence to use the platform for your business operations during the term of your subscription. You retain all rights in the data you submit and in your business content.
§ 12 — Warranties & disclaimer
We warrant that we will provide the platform with reasonable care and skill, in substantial conformity with the documentation. Except as expressly set out in these Terms, the platform is provided "as is", and we disclaim all other warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that any specific transaction will be authorised by an issuer or settled by Stripe.
§ 13 — Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or in connection with these Terms. Our aggregate liability under these Terms — for any and all claims, in contract, tort, or otherwise — will not exceed the total fees paid by you to Eliopi in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, gross negligence, or wilful misconduct).
§ 14 — Indemnification
You will defend, indemnify, and hold harmless Eliopi, its affiliates, and its officers, directors, and employees from any third-party claims, damages, fines, or losses (including reasonable legal fees) arising from (a) your use of the platform in breach of these Terms, (b) your violation of the Acceptable Use Policy, the Stripe Agreements, or applicable law, (c) your products, services, or representations to your customers, and (d) any chargeback, refund obligation, or regulatory action attributable to your business.
§ 15 — Termination & suspension
Either party may terminate this agreement for material breach not cured within 30 days of written notice. Eliopi may suspend or terminate your access immediately, without notice, if (a) Stripe restricts, suspends, or closes your connected account; (b) you violate the Acceptable Use Policy; (c) we receive credible information that your business poses fraud, regulatory, or reputational risk; or (d) we are required to do so by applicable law or by Stripe.
On termination, your right to use the platform ends; outstanding application fees become payable; and your connected Stripe account is governed by the Stripe Agreements with respect to the wind-down (open transactions, pending payouts, residual balance). We will not return funds we never custodied; settlement is between you and Stripe per the Stripe Agreements.
§ 16 — Modification
We may modify these Terms from time to time. Material changes will be announced by email to your account contact at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. The version date at the top of this page reflects the current edition; prior versions are archived on request to contact@eliopi.com.
§ 17 — Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-laws principles. The state and federal courts located in Davis County, Utah, shall have exclusive jurisdiction, save that Eliopi may seek injunctive relief in any competent court.
† Post-Atlas update. Eliopi LLC is presently a Utah entity. We are forming a Delaware entity through Stripe Atlas; on completion, governing law and forum will move to the State of Delaware and the Court of Chancery of the State of Delaware (or the federal courts in the District of Delaware, where applicable). The version date at the top of this page will reflect the change when it occurs.
§ 18 — Definitions
- Application fee — the platform fee Eliopi takes per successful charge, collected via Stripe's
application_fee_amountmechanism. - Connected account — your Stripe account, onboarded under Eliopi's Stripe Connect platform.
- Destination charge — a Stripe Connect charge created on the platform with
transfer_data.destinationset to the connected account. - KYB — Know Your Business: identity verification of the business entity, its representative, and its beneficial owners.
- Merchant of record — the entity that appears on the cardholder's statement and is responsible to the cardholder for the goods or services. Under Eliopi's destination-charge model with
on_behalf_of, the merchant of record is the connected account, not Eliopi. - Stripe Agreements — collectively, the Stripe Services Agreement and the Stripe Connected Account Agreement, as amended from time to time.
